1. Introduction
These Terms and Conditions (“Terms”) constitute a legally binding agreement between PMM Agric (Pty) Ltd t/a PMM Agri (“PMM Agri”, “the Farm”, “we”, “us”, or “our”) and any client, contractor, partner, or visitor (“the Client”, “you”, or “your”) engaging with PMM Agri in any capacity. By visiting our premises, engaging our services, entering into a contractual agreement, or accessing our website, you acknowledge that you have read, understood, and agreed to be bound by these Terms. These Terms are designed to govern all aspects of our business operations, safeguard our clients, and ensure ethical, responsible, and transparent agricultural practices.

2. Nature and Scope of Business
PMM Agri operates as a commercial broiler-growing enterprise, committed to excellence in poultry production, sustainable agricultural practices, and quality assurance. Our operations are strictly conducted on a wholesale and contractual basis.
We do not engage in direct retail sales or supply of live or processed chickens to the general public. All services rendered by PMM Agri are subject to formal agreements which outline specific production volumes, timelines, and financial terms, ensuring mutual clarity and accountability between the Farm and the Client.
3. Contractual Engagements
All engagements between PMM Agri and the Client must be formalised through a written and duly executed Broiler Production Agreement or equivalent contractual document.
Such agreements will detail all relevant terms, including but not limited to:
• Production schedules and timelines;
• Quantities and pricing;
• Quality standards and health guarantees (where applicable);
• Collection, transport, and delivery arrangements; and
• Payment obligations and milestones.
PMM Agri reserves the right, at its sole discretion, to accept, decline, or terminate any contractual arrangement if the Client fails to adhere to agreed terms, defaults on payment, or engages in conduct deemed detrimental to the Farm’s operations, reputation, or biosecurity integrity.
4. Payment and Financial Terms
All invoices issued by PMM Agri shall be payable in full and in accordance with the payment schedule specified in the contract. Unless otherwise stipulated, payment must be made via electronic transfer (EFT) into the official PMM Agri account, details of which will be provided upon engagement.
The Farm reserves the right to:
• Suspend or cancel production for overdue accounts; and
• Impose interest or administrative fees on late payments as permitted under South African commercial law.
All quotations are valid for a limited period and may be subject to adjustment based on input costs, feed prices, or other market fluctuations.
4. Payment and Financial Terms

5. Delivery, Transport, and Risk Transfer
Upon collection or dispatch of broilers from PMM Agri premises, all risk, responsibility, and liability for the birds immediately transfer to the Client.
PMM Agri shall not be held responsible for any losses, damages, mortalities, or deterioration occurring during or after transportation. This includes, without limitation, injuries, stress, heat exhaustion, mishandling, vehicular accidents, or environmental factors beyond the Farm’s control.
Clients are advised to ensure that their chosen transporters are adequately equipped, licensed, and compliant with animal welfare standards. Once the livestock leaves PMM Agri premises, the Farm’s duty of care is deemed fulfilled.
6. Biosecurity, Access, and Visitor Policy
The health and welfare of our livestock are paramount. For this reason, strict biosecurity protocols are enforced on all PMM Agri sites.
Access to the premises is restricted and permitted only by prior written appointment and at the visitor’s own risk. All visitors, contractors, and clients entering the premises are expected to comply fully with the Farm’s biosecurity requirements, including disinfection procedures, protective clothing, and restricted movement within operational zones.
PMM Agri shall not be liable for any theft, injury, loss, or damage sustained by any person or property while on the premises, whether such loss arises from negligence, natural causes, or acts of third parties.
7. Quality Assurance and Livestock Disclaimer
While PMM Agri maintains rigorous standards of care, nutrition, and hygiene to produce healthy and market-ready broilers, all livestock are sold “as is”, subject to the natural variability inherent in biological production.
No express or implied warranties are provided regarding:
• Growth rates or feed conversion ratios;
• Market value or resale potential;
• Post-collection health performance; or
• Mortality outcomes.
The Client acknowledges and accepts the inherent agricultural and biological risks involved in poultry production and indemnifies PMM Agri against any resultant losses or damages.
7. Quality Assurance and Livestock Disclaimer
While PMM Agri maintains rigorous standards of care, nutrition, and hygiene to produce healthy and market-ready broilers, all livestock are sold “as is”, subject to the natural variability inherent in biological production.
No express or implied warranties are provided regarding:
• Growth rates or feed conversion ratios;
• Market value or resale potential;
• Post-collection health performance; or
• Mortality outcomes.
The Client acknowledges and accepts the inherent agricultural and biological risks involved in poultry production and indemnifies PMM Agri against any resultant losses or damages.
8. Indemnity and Limitation of Liability
The Client agrees to indemnify and hold harmless PMM Agri, its directors, employees, and agents from and against any claims, damages, losses, or expenses arising from:
• The handling, transport, or resale of broilers;
• Any breach of contract or negligence by the Client or their representatives; or
• Any third-party actions or claims related to the livestock once transferred.
Under no circumstances shall PMM Agri be liable for indirect, incidental, or consequential losses, including loss of income, market opportunities, or business reputation.
9. Force Majeure
PMM Agri shall not be deemed in breach of contract or held liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited
to:
• Disease outbreaks (avian or otherwise);
• Natural disasters, adverse weather, or fire;
• Governmental restrictions or quarantines;
• Power outages, strikes, or supply chain disruptions.
In such events, PMM Agri shall endeavour to mitigate impact and resume operations as soon as reasonably possible.
10. Confidentiality and Proprietary Rights
All documentation, methodologies, business models, and proprietary information shared by PMM Agri remain the exclusive intellectual property of the Farm. Clients and third parties are prohibited from reproducing, distributing, or utilising any such material without prior written consent.
Any confidential information exchanged between the parties shall remain protected and not be
disclosed to external parties without mutual agreement.
11. Compliance and Ethical Conduct
PMM Agri operates in accordance with the laws and regulations of the Republic of South Africa, including but not limited to animal welfare standards, labour laws, and environmental compliance. Clients are expected to uphold similar standards of ethical conduct, respect all applicable laws, and refrain from any action that could compromise the integrity, safety, or reputation of the Farm.
12. Dispute Resolution
In the event of any dispute or disagreement arising from these Terms or related transactions, the parties shall first seek resolution through amicable consultation and negotiation.
Should such efforts fail, the matter shall be referred to confidential arbitration in accordance with South African arbitration law. The decision of the appointed arbitrator shall be final and binding on both parties.
13. Amendments and Updates
PMM Agri reserves the right to amend, revise, or update these Terms at any time without prior notice. Any such amendments shall take effect immediately upon publication on the Farm’s official communication platforms or website. Continued engagement with PMM Agri following such updates shall constitute acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms and any contractual relationships formed under them shall be governed by and construed in accordance with the laws of the Republic of South Africa.
The parties irrevocably submit to the jurisdiction of South African courts for any matters not resolved through arbitration.
